Terms & Conditions

Plain-language commercial terms governing custom web development, project rescue, and growth retainers.

1. Overview & Agreement

These Terms & Conditions constitute a legal agreement between you (the "Client") and me, a solo freelance web developer operating Wise Wikis Studio from Dhaka, Bangladesh (website: https://wisewikis.studio, email: hello@wisewikis.studio / you@yourdomain.com).

By commissioning a project, accepting an estimate, paying a deposit, or subscribing to a monthly growth retainer, you agree to be bound by the terms outlined below.

2. Services Offered

I provide professional freelance web engineering and digital consulting services across five primary areas:

Custom Website Development: Tailored, high-performance web applications, marketing sites, and landing pages built primarily with Next.js, React, and modern TypeScript.

Website Maintenance & Growth Retainers: Proactive ongoing technical maintenance, performance monitoring, feature enhancements, and continuous CRO improvements.
·
Website Audit & Project Rescue: Deep code audits, Lighthouse speed optimization, accessibility remediation, and rescuing broken or abandoned projects.
·
White-Label Development for Agencies: Dedicated full-stack engineering delivered seamlessly under your creative agency brand.
·
Digital Marketing Services: Technical SEO implementation, conversion funnel tracking, and landing page conversion architecture.

3. Packages & Pricing

Standard engagements are structured into three transparent pricing tiers:

Launch Package (from $1,200 one-time): Designed for ambitious small businesses needing a bespoke, high-converting 5-page digital foundation that loads under 1 second.
·
Growth Retainer (from $350/month): Month-to-month technical partnership providing priority development hours, updates, performance tuning, and fast turnaround.
·
Project Rescue (from $400): Rapid technical intervention to audit, repair, stabilize, or complete stalled web builds.

Custom enterprise scopes and specialized agency contracts are scoped and quoted individually in writing.

4. Payment Terms & Deposits

50/50 Payment Structure: Fixed-scope projects require a 50% upfront deposit prior to commencement to reserve calendar capacity. The remaining 50% completion balance is due upon final project approval and before production deployment or transfer of site credentials.
·
Invoicing Currency & Channels: Invoices are issued in USD and payable via Payoneer or direct international bank wire transfer.
·
Non-Refundable Deposit: The 50% upfront deposit becomes strictly non-refundable once project discovery, architectural setup, or coding work has officially commenced.

5. Project Timeline & Delivery

·
A typical 5-page custom website ships within 2 to 3 weeks from the date both the deposit is settled and all client assets (copy, photography, brand guidelines, and credentials) are received.
·
Timelines are dependent on clear communication and timely feedback. Project milestones are scheduled around overlapping working hours with US Eastern and European time zones.

6. Revisions & Scope Boundaries

·
Two Structured Revision Rounds: Every standard project includes two structured revision cycles during the development and review phases to fine-tune layout, copy placement, typography, and styling.
·
Out-of-Scope Requests: Requests exceeding the agreed specification or additions requested after the two revision rounds are quoted separately at standard project rates.

7. Client Responsibilities

A successful web launch is a collaborative partnership. The Client is responsible for:

Supplying required text content, high-resolution photography, logos, and vector assets in a timely manner.
·
Providing necessary access credentials (domain registrar, DNS, hosting accounts, third-party API keys).
·
Delivering timely feedback on project milestones within 3 business days.

Delays in providing requested content, credentials, or review feedback will proportionally shift the projected delivery schedule.

8. Intellectual Property & Portfolio Rights

·
Full IP Transfer on Final Payment: Upon receipt of 100% of agreed fees, full copyright, intellectual property rights, and ownership of all custom project deliverables, codebase, and assets transfer entirely to the Client.
·
Portfolio Display Rights: As a solo developer, I retain the perpetual right to display completed project screenshots, design highlights, case studies, and live site URLs in my portfolio, social profiles, and marketing materials to demonstrate craft.

9. Post-Launch Support & Maintenance

·
30 Days of Complimentary Fixes: Every custom build comes with 30 days of complimentary post-launch bug fixing and support to address any unforeseen technical issues.
·
Ongoing Enhancements: Ongoing feature additions, content updates, new pages, and architectural adjustments require an active Growth retainer.

10. Retainers & Cancellation

·
Growth maintenance retainers are contracted on a flexible month-to-month basis.
·
Either party may cancel a retainer agreement at any time by providing 30 days written notice via email.
·
Unused hours within a billing cycle do not roll over to subsequent months unless mutually agreed in writing.

11. Third-Party Costs & Services

·
The Client is directly responsible for all third-party subscription, infrastructure, and licensing costs.
·
This includes, but is not limited to: domain registration and renewals, web hosting (such as Vercel or Cloudflare), digital advertising spend, external SaaS subscriptions, and commercial font or stock photography licenses.

12. Limitation of Liability & Disclaimers

·
Cap on Liability: To the maximum extent permitted by applicable law, my total aggregate liability arising out of or related to any project engagement is strictly capped at the total amount of fees paid by the Client for the specific service in question.
·
No Indirect Damages: Under no circumstances will I be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or business interruption.
·
No Commercial Guarantees: While I build to world-class technical standards (e.g. 99 Lighthouse scores, clean semantic markup, fast load times), I cannot guarantee specific search engine rankings, visitor volumes, sales figures, or advertising ROI.

13. Governing Law & Jurisdiction

These Terms & Conditions and any disputes arising from our working relationship are governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles.

Both parties agree to make a good-faith effort to resolve any disagreement informally before pursuing legal proceedings.
